Terms & Conditions :EWC MEMBER AGREEMENT I hereby apply to become a member of the Exclusive Wealth Club (hereinafter "EWC") program. As an independent member, I understand and agree that: 1. I am of legal age to enter this agreement in the state/Country in which I enter this agreement. 2. I shall become a EWC member upon acceptance of this application by EWC. As a member, I shall have the right to sell the services and events offered by EWC in accordance with the EWC's program and statement of policy, which may be amended and changed from time to time. 3. Upon notification to members, EWC, at its discretion, may amend the program plan, event pricing, and statement of policy at any time. 4. I have carefully reviewed EWC's program plan, rules and regulations, and policies and procedures, and acknowledge that they are incorporated as part of this agreement in their present form and as modified from time to time by EWC. 5. The term of the EWC membership agreement is one year. EWC members who wish to continue their memberships must apply to renew their member agreement annually. EWC reserves the right to accept or reject your application for renewal and the renewal shall be deemed accepted if it has not been rejected in writing by EWC within 30 days of receipt of the application. The monthly $125.00 USD membership fee is for ongoing sales and marketing materials support in both written and electronic and online media formats, including event and service and training updates, website development, and maintenance and hosting, and accounting and technical support of management of your marketing sales activity. 6. A member shall be entitled to cancel participation in the member program at any time and for any reason upon written notice to EWC. Upon notification of cancellation or termination, either the sponsoring member or EWC will reassign sponsored members in accordance with its policies as stated in the Company's member program and statement of policy. 7. Upon acceptance of this application by EWC, I acknowledge that I will be an independent contractor responsible for my own business and not an employee of EWC. I will not be treated as an employee in regard to any laws covering employees, including but not limited to the Federal Insurance Contributions Act, the Social Security Act, the Federal Unemployment Tax Act, income tax withholding at source, or for any federal or state tax laws. It is my sole responsibility to pay self employment, state, and federal income taxes as required by law. 8. I will not use EWC's trade name and/or trademark except in the advertising provided to me by EWC or in other advertising without prior written approval by EWC. 9. Any member who sponsors other members must fulfill the obligation of performing a bona fide supervisory and selling function in the sale or delivery of event's to the ultimate consumer and in the training of those sponsored. Member must have ongoing contact, communication, and management supervision with his or her membership organization. Examples of such supervision may include, but are not limited to: newsletters, written correspondence, personal meetings, telephone contact, voice mail, electronic mail, training sessions, and accompanying individuals to EWC trainings. Members should be able to provide evidence to EWC of ongoing fulfillment of sponsor responsibilities. If a member is an Enroller in the membership program entitled to bonuses, then the Enroller is obligated to the same responsibilities of supervisory, communication, and training activities with respect to members he or she has enrolled, irrespective of whether the Enroller is also the Sponsor of those members. 10. The EWC's membership program is built upon individuals attending training events to become event hosts and sales to the ultimate consumer. EWC also recognizes that members may wish to purchase events or service in reasonable amounts for their own personal use. For this reason, a retail sale for bonus purposes shall include sales to nonparticipants, as well as sales to members for personal use which are not made for purposes of qualification or advancement. It is EWC policy, however, to strictly prohibit the purchase of product solely for the purpose of qualifying for bonuses or advancement in the program. Members may not or encourage others in the program to purchase events. Members must fulfill published personal and downline retail sales requirements, including requisite retail sales to nonparticipants, as well as supervisory responsibilities, to qualify for bonuses, overrides, or advancements. 11. The member acknowledges that member is a wholly independent marketing representative who establishes and services retail customers for EWC events as an independent contractor. The position of member does not constitute either a sale of a franchise or a distributorship, and absolutely no fees have been or will be required from the member for the right to distribute the EWC's events pursuant to this agreement. This agreement is not intended and shall not be construed to create a relationship of employer employee, agency, partnership, or joint venture between any distributor, sponsor, and/or the Company. As an independent contractor, the member shall: A. Abide by any and all federal, state, county, and local laws, rules, and regulations pertaining to this agreement and/or the acquisition, receipt, holding, selling, distributing, or advertising of Company events. B. At the member's own expense, make, execute, or file all such reports and obtain such licenses as are required by law or public authority with respect to this agreement and/or the receipt, holding, selling, distributing, or advertising of EWC events. C. Be solely responsible for declaration and payment of all local, state, and federal taxes as may accrue because of the member's activities in connection with this agreement. 12. No purchase or investment is necessary to become a member other than the initiation fee which can be applied towards the first training event if attended in the first 12 months of membership. 13. Prior written approval from EWC is required for the following: A. To advertise EWC events; B. For there to be more than one member in an immediate family in one household; C. Issuance of a member position in a Company or corporate name. 14. The EWC may immediately terminate a member who discredits EWC's name, violates any requirement contained in this Agreement, EWC Policy and Procedures, or training manuals, or misrepresents the EWC's events or business opportunity by making claims contrary to EWC's event literature and labels. 15. This agreement constitutes the entire agreement between the member and EWC and no other additional promises, representations, guarantees, or agreements of any kind shall be valid unless in writing. 16. In the event that a dispute arises between the parties relating to either the terms of this agreement or the parties' relationship in general, either party may serve notice that it desires to have the dispute mediated by a mediator selected in accordance with the procedures of the American Arbitration Association, or as agreed by the parties to the dispute. Once elected, the parties must allow a minimum of sixty (60) days to resolve the dispute through mediation. If the dispute is not resolved through mediation, then it shall be submitted to final and binding arbitration by a committee of arbitrators (one appointed by EWC, one appointed by member, and one appointed by two so appointed). The arbitrators will abide by the rules of the American Arbitration Association and judgment may be obtained on the award in any court of competent jurisdiction. Any mediation and arbitration will be conducted in Brooksville, Florida. The parties hereby knowingly, voluntarily, and irrevocably waive their right to trial by jury, and agree that if the foregoing binding arbitration provision is determined for any reason to be unenforceable or inapplicable to a particular dispute, then such dispute shall be decided solely by a judge, without the use of a jury, sitting in a court of competent jurisdiction in Brooksville, Florida. 17. I acknowledge that I have read and understand and agree to the terms set forth in this agreement. 18. This agreement is not in force until accepted by EWC..
